FREE DOWNLOAD LICENSE AGREEMENT

nodxyzoff ("Licensor") Effective Date: [DATE OF DOWNLOAD]

PARTIES

This Free Download License Agreement ("Agreement") governs the download and use of any beat or instrumental made available at no charge on nodxyzoff.com.

Licensor: nodxyzoff, operating at nodxyzoff.com ("Licensor" or "Producer") Licensee: Any individual who downloads a free beat from nodxyzoff.com ("Licensee" or "Artist")

By downloading a free beat, you automatically accept all terms of this Agreement.

1. DEFINITIONS

  • "Beat" means any tagged or untagged instrumental audio file made available for free download by Licensor.
  • "Tagged Beat" means the Beat with an audible producer tag (voice tag reading "nodxyzoff") embedded throughout the recording.
  • "New Song" means an original musical composition created by Licensee that incorporates the Beat.
  • "Free License" means this non-exclusive, no-cost, limited-use license.

    • 2. GRANT OF LICENSE

    Licensor grants Licensee a non-exclusive, non-transferable, worldwide, limited license to:

    a) Download and use the Beat (in tagged MP3 format) to record one (1) New Song; b) Upload the New Song to free, non-monetized platforms (SoundCloud, YouTube without monetization, etc.); c) Share the New Song on social media for personal promotional purposes; d) Perform the New Song at non-commercial, non-ticketed events.

    3. LICENSE LIMITATIONS

    This is a strictly limited free license. The following hard caps apply:

    Any use beyond these limits requires purchasing a paid license (Basic, Premium, or Exclusive). If your content exceeds 5,000 streams or views, you must purchase a paid license within fifteen (15) days.

    4. FILE FORMAT

    Free downloads are delivered as:

  • Tagged MP3 (320kbps) with audible producer tag

    • Untagged WAV files, stem files, and project files are not included. To receive untagged files, purchase a paid license.

    5. CREDIT — MANDATORY

    Credit is required on every use, post, and release under this license. The Beat must be credited as:

    "[Beat Title] Prod. by nodxyzoff"

    This credit must appear in:

  • The song title (e.g., "My Song (Prod. by nodxyzoff)")
  • The description of any YouTube, SoundCloud, TikTok, or other platform post
  • Any social media caption that includes the New Song
  • Any bio, press release, or promotional material referencing the New Song

    • Failure to credit is a material breach of this Agreement and voids all rights granted hereunder.

    6. NO MONETIZATION

    The Free License does not allow:

  • Enabling YouTube monetization (AdSense, channel memberships, Super Thanks)
  • Releasing the New Song on paid streaming platforms (Spotify, Apple Music, Tidal, Amazon Music, etc.)
  • Selling the New Song or any product featuring the New Song
  • Charging any admission fee for any performance of the New Song
  • Using the Beat in any paid advertising, commercial, or sponsored content

    • If you wish to monetize your music or release it commercially, you must purchase a paid license.

    7. NO CONTENT ID REGISTRATION

    Licensee must not register the New Song or the Beat's instrumental with any automated content management or fingerprinting system, including but not limited to:

  • YouTube Content ID
  • DistroKid's "Claim" features
  • Audiam, AdRev, or similar services

    • Licensor reserves all Content ID rights in the Beat.

    8. OWNERSHIP & COPYRIGHT

    a) Beat Ownership: The Beat and all underlying musical elements (melody, harmony, rhythm, arrangement) remain the exclusive property of Licensor. No ownership is transferred under a Free License.

    b) Master Recording: Licensee may own the creative expression added to the New Song (vocals, lyrics, etc.) but acquires no rights in the Beat itself.

    c) Publishing: Licensor retains 100% of the publishing and composition rights to the Beat. Licensee acquires no publishing rights under the Free License.

    d) No Exclusivity: The Beat remains available for download and licensing to other artists.

    9. PROHIBITED USES

    Licensee may NOT use the Beat in any content that:

  • Promotes, glorifies, or incites violence, hate speech, racism, sexism, or discrimination
  • Defames, harasses, or threatens any individual or group
  • Violates any applicable law or regulation
  • Impersonates nodxyzoff or misrepresents the source of the Beat
  • Is intended for political campaign advertising

    • Licensor reserves the right to revoke this license immediately if the Beat is used in any such content.

    10. TERM & REVOCATION

    a) Term: This license is valid for a period of two (2) years from the date of download.

    b) Revocation for Breach: Licensor may revoke this license immediately and without notice if Licensee breaches any term of this Agreement.

    c) Upgrade: Licensee may upgrade to a paid license at any time, which replaces and expands the rights under this Agreement.

    d) Expiration: Upon expiration or revocation, Licensee must immediately remove all public posts and distributions of the New Song and delete all downloaded files.

    11. DISCLAIMER OF WARRANTIES

    THE BEAT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR MAKES NO WARRANTY THAT THE BEAT WILL BE FREE FROM THIRD-PARTY CLAIMS.

    12. LIMITATION OF LIABILITY

    LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM USE OF THE BEAT UNDER THIS FREE LICENSE. LICENSEE USES THE BEAT ENTIRELY AT THEIR OWN RISK.

    13. INDEMNIFICATION

    Licensee agrees to indemnify and hold harmless Licensor from any claims, damages, or expenses arising from Licensee's use of the Beat in violation of this Agreement.

    14. GOVERNING LAW

    This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Licensor is domiciled. Disputes shall be resolved through binding arbitration.

    16. ACCEPTANCE

    By downloading a free beat from nodxyzoff.com, Licensee acknowledges reading and agreeing to all terms of this Agreement.
