SOUND PACK / SAMPLE PACK LICENSE AGREEMENT

PARTIES

This Sound Pack License Agreement ("Agreement") is entered into as of the Effective Date by and between:

Licensor: nodxyzoff, operating at nodxyzoff.com ("Licensor" or "Producer") Licensee: The purchasing customer whose name and contact details were provided at checkout ("Licensee")

1. DEFINITIONS

  • "Sound Pack" means the collection of audio files (samples, loops, one-shots, MIDI files, presets, and/or other digital assets) identified at the time of purchase.
  • "Samples" means individual audio recordings, loops, and one-shot sounds included in the Sound Pack.
  • "New Work" means any original song, composition, beat, soundtrack, or other creative work produced by Licensee that incorporates one or more Samples from the Sound Pack.
  • "Cleared" means legally available for royalty-free use as licensed hereunder.

    • 2. GRANT OF LICENSE

    Subject to full payment of the license fee and compliance with this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, worldwide, perpetual, royalty-free license to:

    a) Download and use the Sound Pack on Licensee's own devices and production workstations; b) Use, manipulate, pitch-shift, time-stretch, layer, reverse, and otherwise transform the Samples to create New Works; c) Incorporate Samples into New Works for commercial and non-commercial release; d) Distribute, sell, stream, broadcast, and publicly perform New Works that incorporate Samples; e) Use New Works in film scoring, television, advertising, video games, and other multimedia sync placements; f) Use New Works for a client or on behalf of a client (e.g., as a music producer), provided the final deliverable is a New Work and the Samples are not distributed in raw form.

    3. ROYALTY-FREE GUARANTEE

    All Samples in the Sound Pack are cleared and royalty-free. You will not be required to pay additional per-use royalties, mechanical royalties, or sync fees to Licensor for any New Work created using the Samples.

    Exception: If a Sample contains an interpolation of a third-party copyrighted melody, Licensor will clearly disclose this in the Sound Pack documentation, and Licensee remains responsible for clearing any such third-party elements separately.

    4. PROHIBITED USES

    Licensee may NOT:

    a) Redistribute the Sound Pack itself — Licensee may not sell, give away, share, upload, or otherwise distribute the raw Sample files, this Sound Pack (in whole or in part), or any minimally processed derivative of it as a sample pack, preset bank, loop pack, or sound library;

    b) Re-package or re-brand the Samples as a new product for commercial distribution;

    c) Upload Samples to AI training datasets, music generation services, or any automated composition tools;

    d) Use Samples in NFTs without prior written approval from Licensor;

    e) Incorporate Samples into music intended to promote hate speech, violence, discrimination, or any illegal activity;

    f) Share login credentials or purchase access for multiple users — each individual user requires their own license;

    g) Use Samples in competing sample library products.

    5. CONTENT ID & PRO REGISTRATION

    a) Licensee must not register the raw Samples or unaltered loops with any content ID system (YouTube Content ID, AudioMack, etc.).

    b) Licensee may register New Works (finished songs incorporating Samples with Licensee's significant original additions) with their PRO (ASCAP, BMI, SESAC) and distribution services.

    c) Licensor makes no warranties regarding third-party content ID claims on any platform. If Licensee receives a Content ID claim on a New Work, Licensee should dispute the claim and contact Licensor for a clearance letter.

    6. OWNERSHIP

    a) Licensor's Ownership: All Samples and the Sound Pack as a compiled work remain the intellectual property of Licensor.

    b) Licensee's New Works: Licensee owns copyright in the creative original expression added to a New Work (vocals, additional melody, lyrics, arrangement decisions). No ownership is transferred in the underlying Samples.

    c) No Producer Credit Required: Licensee is not required to credit nodxyzoff in New Works created from Sound Pack Samples, though it is appreciated.

    7. TERM

    This license is perpetual and covers all New Works created by Licensee using the Sound Pack, provided Licensee does not breach this Agreement. Past New Works created under a valid license are protected even if Licensee's access to the Sound Pack files is subsequently terminated for breach.

    8. REPRESENTATIONS & WARRANTIES

    a) Licensor warrants that the Samples are original recordings owned by or licensed to Licensor and are cleared for the uses described in this Agreement.

    b) Licensee warrants that Licensee's use of the Samples will comply with this Agreement and applicable law.

    9. DISCLAIMER OF WARRANTIES

    EXCEPT AS EXPRESSLY STATED HEREIN, THE SOUND PACK IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DOES NOT WARRANT THAT THE SOUND PACK WILL MEET LICENSEE'S REQUIREMENTS OR THAT IT WILL BE ERROR-FREE.

    10. LIMITATION OF LIABILITY

    LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE LICENSE FEE PAID BY LICENSEE.

    11. INDEMNIFICATION

    Licensee agrees to indemnify, defend, and hold harmless Licensor from any claims, damages, losses, and expenses arising from Licensee's use of the Sound Pack in violation of this Agreement.

    12. REFUND POLICY

    Due to the digital and downloadable nature of the Sound Pack, all sales are final. Refunds are only issued in cases of technical failure to deliver the files, and only where Licensor is unable to re-deliver within 48 hours of the reported issue.

    13. GOVERNING LAW

    This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Licensor is domiciled. Disputes shall be resolved through binding arbitration.

    14. ENTIRE AGREEMENT

    This Agreement constitutes the entire agreement between the parties with respect to the Sound Pack and supersedes all prior representations, warranties, and understandings.

    15. ACCEPTANCE

    By completing the purchase and downloading the Sound Pack, Licensee agrees to be bound by all terms of this Agreement.
